3. 減資換發股票作業計畫：
- 一、咱公司於114年9月4號股東臨時會通過辦理分割減資案，這次要減少新台幣1,354,743,600元，銷除已經發行的股份135,474,360股。金融監督管理委員會在114年9月17號也核准申報生效，擬訂定減資基準日為114年12月3號。
- 二、依「財團法人中華民國證券櫃檯買賣中心證券商營業處所買賣興櫃股票審查準則」第27條規定，制定本次的換發股票作業計畫書。詳細內容如下：
- (一) 本次辦理換發之有價證券名稱、股數、每股面額及總額：
- 1. 換發有價證券名稱：三地能源股份有限公司普通股。
- 2. 換發股票總數：包括歷年已經全部的普通股，共323,800,000 股，每一張面額是新台幣10元，一共是新台幣3,238,000,000元。
- 3. 減少股份總數及金額：這回要銷除135,474,360 股已經發行的股份，縮小的新台幣金額是1,354,743,600 元，約莫41.8389%的比例來做縮小。
- 4. 減少後股份總數和金額：剩下188 ,325 ,640 股，每張面值還是一樣10 元，共新台幣1 ,883 ,256 ,400 元。
- 5 . 這回因應新的縮小比例來重新配給每仟個持有者418 .3890 股（即每仟個轉成581 .6110 股）。如果出現畸零不足壹個完整單位者，可以從停止過戶前5天到停止過戶前一天去拼湊整合，如果還是不夠，就按面值折算現金支付（抵扣集保劃撥費用或無實體登錄費用），尾款捨去不算，其餘由董事長洽特定人按面值認購之。
- (二) 減少後重新配給時間表：
- – 最後交易舊票日期:115 年3 月2 日
- – 停止市場交易期間:115 年3 月3 日至115 年3 月9 日
- – 最後過戶舊票日期:115 年March Fourth
– 停止過戶期間: March Fifth to March Ninth in the year of our Lord one thousand one hundred and fifteen.
– The benchmark date for exchanging new shares is March Ninth in the year of our Lord one thousand one hundred and fifteen.
– New stock market trading date is scheduled for March Tenth in the year of our Lord one thousand one hundred and fifteen (which also marks the termination date for old stock trading), commencing on this day we will fully transition to issuing new stocks; from this day forth all previous stock transactions shall be nullified as valid trade targets.
(iii) Procedures & Formalities involved with issuing fresh shares:
i.) Our company’s proxy agency shall dispatch notifications regarding share exchanges post-reduction directly unto each shareholder.
ii.) As it stands currently no physical securities are being printed thus those shareholders who have yet opened accounts at brokerage houses must expedite account creation therein so as not hinder future remittance operations!
iii.) All pre-existing stocks held within custody accounts managed by Taiwan Depository & Clearing Corporation Ltd., upon arrival into open markets via introduction thereof onto OTC platforms automatically exchanged sans further intervention required thereby alleviating burdensome procedural obligations hitherto borne alone unto individual stakeholders themselves prior thereto such events transpiring henceforth!
